Results of AGM
The Annual General Meeting of the Company was held on 26 April 2022. All resolutions were passed. Resolutions 1 - 13 were passed as Ordinary Resolutions and Resolutions 14 - 18 were passed as Special Resolutions. The Voting Results are given below:

The Board has noted that whilst resolution 3 was passed with the required majority, around 45% of votes were cast against this resolution. The Board and its Remuneration Committee are aware of the reasons for this result and account will be taken of it as part of the review of Remuneration policy which, as was stated in the Company's Report and Accounts and Notice of AGM, the Remuneration Committee will be undertaking later this year.

Notes to AGM figures:
The percentage of votes "For" and "Against" each resolution are expressed as a percentage of the total votes cast "For" and "Against" the resolution (together the "Total Votes"). A vote withheld is not a vote in law and is not counted in the calculation of the proportion of votes "For" and "Against" a resolution.
The "% of total voting rights" column shows the percentage that the Total Votes on that resolution represent of the total number of voting rights attached to shares in issue at the date of the AGM. The total number of voting rights attached to shares in issue at the date of the AGM was 277,510,925.
In accordance with Listing Rule 9.6.2, copies of all the resolutions passed by the Company at its Annual General Meeting have been submitted to the National Storage Mechanism and will be available for inspection at https://data.fca.org.uk/#/nsm/nationalstoragemechanism.
