Results of AGM and Board Change

London, 14 September 2011- Mwana Africa PLC announces that at the Annual General Meeting of the Company held at 12:00 p.m. today, all the resolutions proposed, as set out in the notice of the meeting to shareholders dated 18th August 2011, were duly passed.

Board Change

Mwana Africa PLC today announced that Executive Chairman, Oliver Baring, will become Non-Executive Chairman with effect from 1 October 2011. Chief Executive, Kalaa Mpinga will continue in his current role.

As Executive Chairman, Mr. Baring has devoted considerable time and energy in enhancing the Company's position. Over that time he has played a significant role in its evolution into a pan-African, multi-commodity resources company.

Mr. Baring commented: "My intention has always been to take Mwana Africa's exciting assets to significant levels of production, and through those assets to build value for the Company's shareholders. Our superb team has worked incredibly hard through what has been a demanding period and remained focused on the task in hand. Zimbabwe remains a challenging country in which to finance projects but I continue to believe that our strategy to grow production in Zimbabwe while continuing to invest in our most promising exploration projects remains the right one. I look forward to my continued involvement with Mwana's progress as Non-Executive Chairman."

Kalaa Mpinga, Chief Executive of Mwana Africa, commented: "Over the last few years, the Board has greatly benefitted from Oliver's wealth of experience and knowledge of both the mining industry and the capital markets. As we look forward to a period in which we intend to recommence production at Bindura Nickel Corporation and increase gold production at Freda Rebecca, Oliver's continued contribution to the Company will be vital. I speak for the entire Board in welcoming his continued support and leadership in the future."
