Results of Shareholder Meetings and Rollover Elections

ZDP Shareholders' Class Meeting

The Subsidiary held the ZDP Shareholders' Class Meeting today, in connection with the proposals for the reconstruction and winding up of the Subsidiary as set out in the Circular published by the Subsidiary on 6 July 2016 (the "Circular").

The Board is pleased to announce that the special resolution put forward at the ZDP Shareholders' Class Meeting has been approved by ZDP Shareholders.

First Subsidiary General Meeting

In addition to the above, the special resolutions put forward at the First Subsidiary General Meeting, also held today, have been approved by the Subsidiary's Ordinary Shareholders, with EWPO holding 99.99% of the Subsidiary's Ordinary Shares.

A copy of the special resolutions from both meetings will be available shortly on the National Storage Mechanism at http://www.morningstar.co.uk/uk/NSM. The proxy votes in respect of the ZDP Shareholders' Class Meeting will shortly be available on the Company's website at www.ecofin.co.uk. 

Rollover Elections

The Subsidiary received 5,016,007 elections from ZDP Shareholders for the Rollover Option. Under the Rollover Option, ZDP Shareholders were given the opportunity to elect to receive new shares in Ecofin Global Utilities and Infrastructure plc ("Ecofin Global").

Therefore, the Subsidiary's ZDP Shares will be reclassified as follows:

· ZDP Shares with "A" rights, being those that have the right to receive new shares in Ecofin Global: 5,016,007 ZDP Shares

· ZDP Shares with "B" rights, being those that have the right to receive the Final Capital Entitlement in cash: 54,983,993 ZDP Shares

Holders of ZDP Shares with "A" rights will receive shares in Ecofin Global following, and subject to, the EWPO Scheme becoming effective. Holders of ZDP Shares with "B rights will be paid the Final Capital Entitlement in cash, which is expected to occur during the week commencing 1 August 2016.

The amendment to the listing of Reclassified Shares and commencement of dealings in the Reclassified Shares are expected to occur at 8:00 a.m. on Monday 25 July 2016 and the listing and dealings in Reclassified Shares are expected to be suspended at 7:30 a.m. on Friday 29 July 2016.
