Result of General Meeting and completion of Transactions

Further to the announcement made on 23 August 2012, the Board of JD Sports Fashion Plc is pleased to announce that the Resolutions to approve the disposal of Canterbury and the acquisition of the ONETrueSaxon Brand (as detailed in the circular to Shareholders dated 23 August 2012) were duly passed at the General Meeting held at 2.00 p.m. today, and that both of the Transactions have now been completed.

A copy of the Resolutions has been submitted to the National Storage Mechanism and will shortly be available for inspection at www.hemscott.com/nsm.do.

The following is a summary of the Forms of Proxy appointing the Chairman of the General Meeting as proxy:

* Includes those votes giving the Chairman discretion

** A 'vote withheld' is not a vote in law and is not counted in the votes 'For' and 'Against' a resolution

Total issued ordinary share capital as at 11 September 2012: 48,661,658.

Number of shares eligible to vote represented by proxy: 17,584,520 (84.96%).
