Cable & Wireless Communications Plc ("CWC" or the "Group") announces that at its General Meeting held today at 11am (BST) the ordinary resolution to approve the disposal of the Group's Monaco Telecom business unit to GP Holding SAS (a private investment company controlled by Xavier Niel, the French entrepreneur and industrialist) was duly passed on a poll.

Details of the result are given below:

The disposal of the Group's Monaco Telecom business unit is anticipated to complete on 20 May 2014.

Unless otherwise specified, capitalised terms used in this announcement have the meaning ascribed to them in the circular from CWC to its shareholders dated 25 April 2014.

In accordance with Listing Rule 9.6.2, a copy of all resolutions passed other than resolutions concerning ordinary business have today been submitted to the UK Listing Authority for publication through the National Storage Mechanism at http://www.morningstar.co.uk/uk/NSM
