Agronomics Limited
(the "Company")
Results of General Meeting
The Company is pleased to announce that at the General Meeting held today all the resolutions tabled were duly passed.
Accordingly, and following the successful recent fund raise, the Company will now issue and allot 90,600,000 Ordinary shares (the "New Shares") and disapply pre-emption rights in relation to the New Shares as set out in the Circular posted to Shareholders on 10 June 2019. The New Shares are expected to commence trading on AIM on or about 11 July 2019. The New Shares to be issued represent an additional 600,000 Ordinary Shares (being a gross amount of £30,000 at the Placing Price of 5 pence per share) to that announced on 13 June 2019 and reflects a small increase in the Placing due to further excess demand.
Further details confirming those shareholdings of 3.0% and over will be released as soon as is practicable.
Following Admission of the New Shares, the Company will have 113,795,558 Ordinary Shares, each in issue with voting rights and admitted to trading on AIM. This figure may then be used by shareholders in the Company as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
