Healthstar Group plc27 April 2006 Not for release, publication or distribution in or into the United States,Australia, Canada, Japan or any other jurisdiction if to do so would constitutea violation of the relevant laws of such jurisdiction For immediate release 27 April 2006 Ultrasis plc ("Ultrasis") and Healthstar Group plc ("Healthstar") Recommended offer for Healthstar by Ultrasis Results of Shareholder meetings The boards of Ultrasis and Healthstar are pleased to announce that theHealthstar Court Meeting and the Healthstar Extraordinary General Meeting(together the "Shareholder Meetings"), held earlier today in relation to therecommended offer for Healthstar by Ultrasis, both received the overwhelmingsupport of shareholders. At the Healthstar Court Meeting 100 per cent. of Healthstar Shareholders voting(in person or by proxy) approved the Scheme. A total of 2,732,043 votes werecast representing 60.7 per cent. of the shares in issue. At the Healthstar Extraordinary General Meeting, which followed immediatelyafter the conclusion of the Healthstar Court Meeting, the special resolutionproposed was passed. Implementation of the Scheme remains conditional upon the satisfaction of theConditions set out in the document posted to Healthstar Shareholders on 31 March2006. Provided that the Court sanctions the Scheme and confirms the associatedreduction of capital at the Court Hearing scheduled to take place on 15 May2006, it is anticipated that, on 16 May 2006, the Scheme will become effective.Dealings in New Ultrasis Shares are expected to commence on AIM on 17 May 2006and New Ultrasis Shares will be credited to CREST accounts on the same date. Itis expected that certificates for New Ultrasis Shares will be despatched by notlater than 31 May 2006.
