Result of General Meeting
Utilitywise (AIM:UTW), a leading independent utility cost management consultancy, announces that all resolutions proposed at the General Meeting of its Shareholders held earlier today were duly passed.
Accordingly, the Acquisition of Energy Information Centre Limited and the placing of 5,000,000 new ordinary shares at a price of 100 pence per share will be complete upon Admission of the 10,037,500 new Ordinary Shares (being the Placing Shares and Consideration Shares) becoming effective, which is expected to occur at 8.00 a.m. tomorrow, 3 July 2013.
Further details of the Placing, Acquisition, and the Share Sale by certain Directors of the Company, are set out in the announcement of the Transaction and the circular to Shareholders, both dated 13 June 2013 and which are both available at the Company's website, www.utilitywise.com. Defined terms used in this announcement, unless otherwise stated, have the same meaning as those set out in the announcement of the Transaction on 13 June 2013.
Subsequent to the issue of the new Ordinary Shares, the total number of issued ordinary shares will be 71,858,078. There are no ordinary shares held in treasury and so the total number of voting rights in the Company is 71,858,078.
The above figures may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
