RESULTS OF GENERAL MEETING

The Directors of Nyota Minerals Limited ('Nyota' or the 'Company') advise that the results of the following resolutions placed before shareholders at a General Meeting held at 10.30am (WST time) today in Perth, Western Australia were as follows.

Proxies were received from shareholders representing 57.4% of the issued capital with a total of 798,978,365 votes not being cast.

Ordinary Resolution 1: Appoint Mr Jonathon Morley-Kirk as a director was passed by a show of hands. Proxy details in respect of this resolution were as follows:

i. there were 987,352,674 proxy votes in in favour of the resolution;

ii. there were 91,272,633 proxy votes against the resolution;

iii. there were 0 proxy votes specifying that the proxy abstain on the resolution;

Ordinary Resolution 2: Appoint Mr Andrew Wright as a director was passed by a show of hands. Proxy details in respect of this resolution were as follows:

i. there were 987,352,674 proxy votes in in favour of the resolution;

ii. there were 91,272,633 proxy votes against the resolution;

iii. there were 0 proxy votes specifying that the proxy abstain on the resolution;

Ordinary Resolution 3: to Appoint Mr Sergii Budkin as a director was passed by a show of hands. Proxy details in respect of this resolution were as follows:

i. there were 987,352,674 proxy votes in in favour of the resolution;

ii. there were 91,272,633 proxy votes against the resolution;

iii. there were 0 proxy votes specifying that the proxy abstain on the resolution;
