RESULTS OF THE GENERAL MEETING HELD ON 27 DECEMBER 2016

Further to the announcement of 5 December 2016 by Cambian Group plc ("Cambian"), of the proposed disposal of its adult services business to Cygnet Health Care Limited, a wholly owned subsidiary of Universal Health Services, Inc. for cash consideration of £377 million (the "Transaction"), and the announcement of 9 December 2016 relating to the publication of a circular containing notice to convene a general meeting on 27 December 2016 (the "General Meeting"), Cambian is pleased to announce that, earlier today, Cambian Shareholders passed the resolution proposed for the approval of the Transaction (the "Resolution"). The Transaction is now unconditional and is expected to complete on 28 December 2016.

Results of the General Meeting

At the General Meeting, the Resolution was passed by the requisite majority on a poll vote.

The Resolution was passed as an ordinary resolution. The full text of the Resolution is set out in the Notice of General Meeting contained in the Circular, which is available on Cambian's website, www.cambiangroup.com. Details of the votes cast are as follows:

A copy of the Resolution will be submitted to the National Storage Mechanism and will shortly be available for inspection at www.morningstar.co.uk/uk/NSM.
