Result of General Meeting

Director / PDMR Shareholding

Flowgroup plc (AIM: FLOW), which develops and commercialises alternative and efficient energy products, announces that at the General Meeting held today, all resolutions were duly passed.

Accordingly, application has been made for 106,861,656 New Ordinary Shares to be admitted to trading on AIM and it is expected that these shares will be admitted and dealings will commence at 8:00am on 23 December 2013 ("Admission"). Following Admission, the issued share capital of the Company will consist of 239,367,262 ordinary shares of 5 pence each (the "Enlarged Share Capital"). Therefore, the total number of voting rights in the Company is 239,367,262 and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company, under the Disclosure and Transparency Rules.

As previously announced, Directors of the Company had subscribed for an aggregate of 1,815,384 Firm Placing Shares and Subscription Shares. Following Admission, their beneficial interests will be as follows:
