Result of General Meeting

The Company is pleased to announce that at the General Meeting of the Company, held on 3 December 2013, the special resolution (the "Special Resolution"), proposed in the Notice of General Meeting and put to the shareholders at the General Meeting, to transfer the Company's listing category on the Official List of the United Kingdom Listing Authority and on the Main Market of the London Stock Exchange plc from a premium listing (commercial company) to a standard listing (shares) (the "Transfer of Listing") was duly passed.

The By-Laws of the Company require all resolutions of the Company to be considered on a poll and accordingly the Special Resolution was considered on a poll at the General Meeting.

Issued share capital at 3 December 2013 was 93,191,758 shares and 427,887 treasury shares.

Following shareholder approval, the Company will submit its application for the Transfer of Listing to the UK Listing Authority shortly. Accordingly, the Company expects the Transfer of Listing to take effect on or around 7 January 2014.

An explanatory circular was submitted to the National Storage Mechanism on 6 November 2013 and is available for inspection at www.hemscott.com/nsm.do and on the Company's website (along with the Notice of General Meeting).

In accordance with the Listing Rules (9.6.2R) a copy of the Special Resolution passed at the General Meeting, has been submitted to the National Storage Mechanism and will shortly be available for inspection at www.hemscott.com/nsm.do.
