Result of General Meeting, Result of Annual General Meeting, Completion of Acquisition of Mi-Pay Limited, Change of name to Mi-Pay Group plc and Placing

AimShell Acquisitions plc is pleased to announce that at both the general meeting and annual general meeting held earlier today, all resolutions were passed. As a result the acquisition of Mi-Pay Limited and associated placing of 1,428,027 new Ordinary Shares of 10p each in the Company referred to in the announcement dated 2 April 2014 have now become unconditional, save for the requirement that the Company's enlarged share capital be admitted to trading on AIM.

In the admission document dated 2 April 2014, the Company noted its intention to change its name to Mi-Pay plc. After further consideration the Company has decided to use the name Mi-Pay Group plc instead.

Dealings in the enlarged share capital will commence on 29 April 2014 under the Company's new name, Mi-Pay Group plc. The Company's ticker will also change to MPAY as of 29 April 2014.

In addition, following demand from an institutional investor, the Company has today placed a further 243,903 ordinary shares of 10 pence each with this investor at a price of 41 pence per share (equal to the placing price for the placing associated with the acquisition). Application will be made for these shares to be admitted to trading on 6 May 2014. Following this placing, the total issued share capital of the Company comprises 33,984,533 ordinary shares of 10 pence each.
