Result of General Meeting

Conviviality Retail plc (AIM: CVR),the UK's largest franchised off-licence and convenience store brands trading primarily under the Bargain Booze fascia, announces that at the General Meeting held today all resolutions, as announced by the Company on 8 September 2015, were duly passed.

As a result, the remaining conditions for the acquisition of Matthew Clark (Holdings) Limited are approval by Punch Taverns plc shareholders at its general meeting on 1 October 2015, the Pension Condition being satisfied, the Software Condition being satisfied or waived and Admission of the Enlarged Share Capital to AIM. In addition, the Company's name will be changed to Conviviality Plc and this is expected to take effect on completion of the Acquisition.

Subject to the satisfaction or waiver (if applicable) of the outstanding conditions, trading on AIM in the Existing Ordinary Shares will be cancelled at 4:30pm on 1 October 2015 and Admission will occur and dealings in the Enlarged Issued Share Capital will commence at 8:00am on 2 October 2015.

Following Admission, the total number of ordinary shares and voting rights in the Company will be 155,215,830. The Company does not hold any shares in treasury.

The above figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
