Result of General Meeting

The Company announces that at its General Meeting held earlier today, all resolutions were duly passed.

The Company has therefore, conditional only on Admission, successfully raised £32 million (before expenses) through the Placing, will be entitled to draw down acquisition funding under the Revised Facilities and expects to complete the acquisition of Bibendum PLB on Friday 20 May 2016.

Following the passing of the resolutions at the General Meeting, the Company has, conditional only on Admission, issued and allotted 15,609,757 new Ordinary Shares. Application has been made to the London Stock Exchange for these new Ordinary Shares to be admitted to trading on AIM and it is expected that Admission will occur and that dealings will commence at 8.00 a.m. on 20 May 2016.

Following Admission, the Company's total issued and voting share capital will comprise 170,850,796 Ordinary Shares. This number includes 2,551 new Ordinary Shares which were issued by the Company earlier in the month pursuant to Company's share incentive arrangements and which were satisfied via the Company's existing block listing arrangements. This number may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
