Pace plc: Result of General Meeting

Pace plc ("Pace" or the "Company") announces that at its General Meeting held today at 9.30am (GMT) the ordinary resolution to approve the acquisition of Aurora Networks, Inc. ("Aurora") by way of merger was duly passed on a show of hands.

Details of the result are given below:

Completion of the Acquisition is anticipated to take place today, 6 January 2014.

Unless otherwise stated, defined terms used in this announcement have the meanings ascribed to them in the circular from Pace to its shareholders dated 16 December 2013.

In accordance with Listing Rule 9.6.2, a copy of the resolution passed has today been submitted to the UK Listing Authority for publication through the National Storage Mechanism at www.morningstar.co.uk/uk/NSM.
