Result of General Meeting

 Appointment of Executive Chairman

ILX Group plc (AiM: ILX), the AIM quoted provider of e-learning software and business training, is pleased to announce that at today's General Meeting, all resolutions were duly passed.

Accordingly, and further to the announcement released by the Company on 1 August 2012, 8,290,000 new ordinary shares of 10 pence each in the share capital of the Company have been issued and allotted ("New Ordinary Shares"). Of these New Ordinary Shares, 7,890,000 have been issued and allotted to Praxis Trustees and 400,000 have been issued and allotted to Ken Scott, Chief Executive of ILX.

Application has been made for the New Ordinary Shares to be admitted to trading on AIM ("Admission"). Admission is expected to take place at 8.00 a.m. on 28 August 2012. Following Admission, the Company will have 39,933,376 ordinary shares of 10 pence each ("Ordinary Shares") in issue. Praxis Trustees will hold 11,940,000 Ordinary Shares in total, representing 29.9 per cent. of the enlarged issued share capital. Ken Scott will hold 818,062 Ordinary Shares in total, representing 2.05 per cent. of the enlarged issued share capital.

Appointment of Executive Chairman

As detailed in the announcement of 1 August 2012, Wayne Bos has now joined the Board as Executive Chairman. Paul Lever remains on the Board as a non-executive director.

Wayne Malcom Bos, aged 46, has over 20 years' experience managing and investing in business over a wide range of sectors, with particular expertise in the software and technology sector. His career includes 3 years as Chief Executive of Sausage Software, an Australian public company, which he grew to a market capitalisation of A$2.5bn in 2001, and President and CEO of Natrol, a Nasdaq listed Nutraceutical company, sold to Plethico, an Indian public company, in 2008. In the last four years, he has made several public and private company investments. Wayne Bos is a discretionary beneficiary of the DNY Trust. As detailed above, following Admission, Praxis Trustees will hold 11,940,000 Ordinary Shares as trustee of the DNY Trust.
