Bank Pekao SA13 January 2006 UNOFFICIAL TRANSLATION (13 January 2006) Current report 2/2006 Admission of Bank shares F series into stock exchange trading on the primarymarket of the Warsaw Stock Exchange and date of the first quotation afterassimilation Management Board of Bank Polska Kasa Opieki Spolka Akcyjna ("Bank") informs,that on 12th of January, 2006 Management Board of Warsaw Stock Exchange ("WSE")has adopted the Resolution No 10/2006 to admit up to 830,000 (eight hundredthirty thousand) series F ordinary bearer shares of Bank, having a nominal valueof PLN 1.00 (one) each, marked by the National Depository for Securities by code"PLPEKAO00271" (Resolution KDPW No 15/06 dated 11 of January, 2006), to thestock exchange trading on the primary market of WSE. Management Board of Warsaw Stock Exchange decided to introduce 186,755 (onehundred eighty six thousand seven hundred fifty five) series F ordinary bearershares of Bank to the stock exchange trading on the primary market on 17thJanuary, 2006 , under the condition, that National Depository for Securitieswill register Bank's shares (marked by KDPW by code "PLPEKAO00271") and willassimilate them with Bank's shares already in the stock exchange trading markedby code "PLPEKAO00016" on 17th January, 2006. Series F ordinary bearer shares of Bank are taken-up by members of Bank'sManagement as a consequence of Management Programme introduced by resolutions ofBank's General Meeting of Shareholders on 25th of July, 2003.
