State Registration of the Report on the Results of the Additional Share Issue of JSC RusHydro Was Completed
JSC RusHydro (ticker symbols: RTS, MICEX, LSE: HYDR; OTCQX: RSHYY) announces that on September 30th, 2010, the Russian Federal Service for Financial Markets (FSFM) registered the Report on the Results of the Additional Share Issue of JSC RusHydro (state registration number 1-01-55038-E-038D dated November 19th, 2009). The placement of the Company's ordinary shares from the additional issue was completed August 27th, 2010. In summary, during the course of the additional share issue, 19,000,000,000 ordinary shares with a par value of 1 (one) ruble per share, equivalent to 100% of shares from the additional issue, were placed. All placed shares were paid for with monetary funds.
The decision to increase the Company's authorized capital through the placement of additional shares via open subscription was made by JSC RusHydro's Annual General Meeting of shareholders June 10th, 2009.
The placement price for the additional shares (including, for persons who were on the list of those having the pre-emptive right to acquire additional placed shares) was set by JSC RusHydro's Board of Directors in November 2009, in accordance with Articles 36 and 77 of the Russian Federal Law "On Joint Stock Companies," at 1 ruble and 15 kopeks per additional ordinary share.
Total funds received by JSC RusHydro as payment for shares from the additional issue equaled RUR 21,850,000,000.
Transactions with shares from the additional issue may be carried out on RTS in several days after the registration of the Report, also such transactions will be possible on MICEX SE after the admission of this issue for trading (approximately, mid-November 2010). This issue of securities is to be combined with the RusHydro's securities issues which are currently traded on stock exchanges as of 3 months from the date of state registration of the report on the results of the securities issue.
