Computacenter PLC28 June 2006 RETURN OF CAPITAL AND LISTING OF NEW ORDINARY SHARES At the Extraordinary General Meeting of Computacenter plc held todayShareholders approved the resolution to effect the return of capital, includingthe share capital consolidation and the amendment to the Articles ofAssociation. In addition resolutions were passed to renew authorities granted atthe AGM to issue shares and make market purchases as set out in the Circular toshareholders dated 5 June 2006. Accordingly on 3 July 2006 shareholders on the register of members as at 4.30pmon 30 June 2006 will be issued with B shares in the ratio of one B share foreach existing ordinary share held. All B shares will be redeemed at theirnominal value of 39 pence on 4 July 2006. It is expected that cheques will bedespatched and proceeds credited to CREST accounts on 7 July 2006 in respect ofB shares redeemed. Application has been made to the Financial Services Authority and the LondonStock Exchange for the new ordinary shares resulting from the share capitalconsolidation to be admitted to the Official List and to trading on the LondonStock Exchange's main market for listed securities in place of the existingordinary shares. It is expected that dealings in the existing ordinary shareswill continue until 4.30pm on 30 June 2006 and that listing of the new ordinaryshares will become effective and dealings in them will commence on the LondonStock Exchange at 8.00am on 3 July 2006.
