("Haversham" or the "Company")

Result of General Meeting

The Directors of Haversham are pleased to announce that, at the General Meeting of the Company held earlier today, the Special Resolution put to the meeting was duly passed by the requisite majority.

Accordingly, as set out in the announcement of 26 March 2015, the Company will now change its name to BCA Marketplace plc, proceed with the Placing and Acquisition of the BCA Group of companies. It is expected that the Acquisition will complete on 2 April 2015.

The Company has applied for admission to the Standard Listing Segment of the Official List of the UK Listing Authority and for its securities to be traded on the main market of the London Stock Exchange. It is expected that Admission will become effective at 8:00am on 2 April 2015.
