Resolution adopted by the Extraordinary General Assembly meeting of shareholders of August 28, 2008:
The Extraordinary General Assembly of Shareholders of Bank Audi SAL - Audi Saradar group, having reviewed all submitted documents, declares that (i) it has verified that the capital increase of the Bank by an amount of LBP 14,157,880,000 through the issuance of 1,287,080 ordinary shares was completed, and (ii) subscription to said shares and full payment of their price by the subscribers, owners of option rights having exercised their options, was completed.
Accordingly, the Extraordinary General Assembly of Shareholders of Bank Audi SAL - Audi Saradar Group resolves to:
confirm the adequate completion of all formalities of the capital increase of Bank Audi SAL - Audi Saradar Group from LBP 419,675,399,000 to LBP 433,833,279,000 i.e. by an increase of LBP 14,157,880,000;
declare that the capital of Bank Audi s.a.l. - Audi Saradar Group is now LBP433,833,279,000 fully paid up and divided into 39,439,389 nominal shares having a value of LBP 11,000 each;
declare that, pursuant to the above, the modification of articles 6 and 8 of the by-laws of Bank Audi s.a.l. - Audi Saradar Group, as per the 2nd resolution of the Extraordinary General Assembly meeting of Shareholders held on 8 July 2008, is now effective.
