Result of EGM On 14 November 2007, Amlin plc ("Amlin") announced its intention to returnapproximately £120 million of capital to shareholders (the "Return of Capital"),subject to shareholder approval, by way of a B share issue combined with aconsolidation of Amlin's existing ordinary shares on the basis of 8 new ordinaryshares for 9 existing ordinary shares. The resolution authorising the Return of Capital and related matters (includingthe adoption of new Articles of Association), as set out in full in the circularto shareholders dated 16 November 2007, was proposed at Amlin's ExtraordinaryGeneral Meeting held earlier today and was duly approved by shareholders as aspecial resolution. Proxies were received in respect of 288,331,999 Amlin shares, representingapproximately 53.6% of Amlin's shares in issue. The result of the proxy vote on the resolution at the EGM was as follows: \* T For Against Votes withheld 286,707,387 22,424 1,602,188\* T It is expected that admission to the Official List maintained by the FinancialServices Authority will be granted at 8.00am on 17 December 2007 and thattrading on the London Stock Exchange's main market for listed securities willalso commence at 8.00am on 17 December 2007. The following ordinary shares are presently being reserved for the exercise ofshare options under a block listing, allocated to the following schemes: \* TScheme Number of sharesSharesave scheme 325,135Approved Executive Option Scheme 166,400Unapproved Executive Option Scheme 215,343\* T It is expected that these block listings will be carried forward as blocklistings over the same numbers of ordinary shares, now to be ordinary shares of28.125 pence each ("New Shares"). When issued, these shares will rank pari passuwith the other New Shares.
