('Ceres', 'Ceres Power' or the 'Company')
Result of General Meeting and Placing
The Board of Ceres Power is pleased to report that at the General Meeting of the Company held today the special resolution relating to the Placing of 19 million new ordinary shares ("New Shares") was duly passed.
As a result, the Placing announced on 25 November 2009, raising £31.35 million, has now been completed. It is expected that Admission will become effective and dealings in the 19 million New Shares of £0.05 will commence at 8am on 15 December 2009. The New Shares will rank pari passu in all respects with the existing issued ordinary shares of Ceres.
Following completion of the Placing, the Company's issued share capital will amount to 86,056,614 ordinary shares, which is the figure that may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company.
