Rowe Evans Investments PLC14 January 2005 Proposed mergers of Rowe Evans Investments PLC with each of Bertam Holdings PLC and Lendu Holdings PLC and proposed change of Rowe Evans' name to M.P. Evans Group PLC The Boards of Rowe Evans, Bertam and Lendu announce that, at the variousExtraordinary General Meetings and Court Meetings held earlier today, theresolutions to approve the recommended mergers of Rowe Evans with each of Bertamand Lendu by way of separate schemes of arrangement, and the resolution toapprove Rowe Evans' change of name to M.P. Evans Group PLC, were passed by therequisite shareholder majorities. The court hearings to sanction the schemes of arrangement of each of Bertam andLendu are expected to take place on Tuesday, 1 February 2005. These courthearings will be held at the Royal Courts of Justice, The Strand, London WC2A2LL. It is expected that the last day of dealings in each of Bertam's and Lendu'sshares will be 1 February 2005 and that the mergers will become effective, andtrading in the new shares of Rowe Evans will commence, on 2 February 2005. RoweEvans' change of name to M.P. Evans Group PLC will occur at the same time as themergers become effective at which point the Rowe Evans ticker will change fromRWEV to MPE. Share certificates in respect of new Rowe Evans shares areexpected to be despatched on or before 16 February 2005.
