Z Group PLC15 December 2006 Z GROUP plc - RESULT OF EGM The Board of Z GROUP plc ("Z GROUP" or "the Company"), the AIM-listed developerand provider of leading consumer internet technologies, is pleased to announcethat at the Extraordinary General Meeting of the Company held at 11 am today,the resolutions outlined in the circular to shareholders dated 21 November 2006,were duly passed. Shareholders approved the Board's recommended all share offer for the remaining49 per cent. minority interest in its joint venture, OnShare Limited ("OnShare"), in a deal that is expected to be value enhancing to the Company. Application has been made for 3,942,134 new ordinary shares of 5p each (the "NewShares") to be admitted to trading on AIM and dealings are expected to commenceon 21 December 2006. The New Shares will rank pari passu with the existing ordinary share capital ofthe Company and have been allotted and issued credited as fully paid. Following admission, the total issued share capital of the Company will be to23,685,879 ordinary shares of 5p each.
