KINGDOM MEIKLES LIMITED

NOTICE OF THE RESULTS OF THE EXTRAORDINARY GENERAL MEETING HELD ON 22 JUNE 2009

After verification by the scrutineers of the votes cast at the EGM, shareholders are advised that:

 

Ordinary Resolution Number 1: The disposal of 234,046,621 Kingdom Financial Holdings Limited ("KFHL") issued shares to KFHL for cancellation was approved by shareholders holding 207,554,309 shares which equated to a 97% vote, including the Meikles' family vote, (or 100,006,854 shares = 94% excluding the Meikles' family vote) in favour of the resolution and Ordinary Resolution numbered 1 in the Notice of Meeting was then declared passed.

Ordinary Resolution Number 2: Distribution of KFHL Shares was approved by shareholders holding 207,102,339 shares which equated to a 97% vote, including the Meikles' family vote, (or 99,554,884 shares = 94% excluding the Meikles' family vote) in favour of the resolution and Ordinary Resolution numbered 2 in the Notice of Meeting was then declared passed. Ordinary Resolution Number 3: Listing of Kingdom on Zimbabwe Stock Exchange ("ZSE") was approved by shareholders holding 207,567,249 shares which equated to a 97% vote, including the Meikles' family vote, (or 100,019,794 shares = 94% excluding the Meikles' family vote) in favour of the resolution and Ordinary Resolution numbered 3 in the Notice of Meeting was then declared passed. Special Resolution Number 1: Name Change was approved by shareholders holding 207,529,203 shares which equated to a 97% vote, including the Meikles' family vote, (or 99,981,748 shares = 94% excluding the Meikles' family vote) in favour of the resolution and Special Resolution numbered 1 in the Notice of Meeting was then declared passed.

The above results differ by 0.71 percentage point from those announced at the EGM, as a result of a ballot paper not returned by one shareholder which was discovered during the final verification of the results by the scrutineers after the EGMThis ballot was therefore a spoilt paper.  The difference, however, is immaterial.
