Result of Extraordinary General Meeting

Further to the Company's announcement of 25 July 2012, Dods announces that all resolutions proposed at the Company's Extraordinary General Meeting held today were passed. Consequently, 110,821,556 new ordinary shares of 1 penny each are expected to be admitted to trading on AIM on 21 August 2012.

Subsequent to admission, the Company's total issued share capital will be 339,770,953 ordinary shares. Dods holds no shares in treasury. Therefore, the total number of voting rights in Dods is 339,770,953.

The above figure, 339,770,953, may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Dods under the FSA's Disclosure and Transparency Rules.

In addition, following the admission of these new ordinary shares, Lord Ashcroft KCMG will hold 150,248,599 ordinary shares in the Company, representing 44.2 per cent. of the Company issued ordinary share capital.
