Results of Court Meeting and CWC General Meeting

 

The Board of Directors of CWC is pleased to announce that at a Court Meeting and General Meeting of CWC Shareholders held earlier today in connection with the recommended offer for the entire issued and to be issued share capital of CWC by Liberty Global, all the resolutions proposed were duly passed in the terms set out in the notice of each meeting.

At the Court Meeting, a majority in number of Scheme Shareholders, who voted (either in person or by proxy) and who together represented over 75% by value of the votes cast, voted in favour of the resolution to approve the Scheme. The resolution was accordingly passed. At the General Meeting, the Special Resolution to approve the Scheme and provide for its implementation (including the amendments to the Articles of Association of CWC) was also passed by the requisite majority.

Details of the resolutions passed are set out in the notices of the Court Meeting and CWC General Meeting contained in the scheme document published on 23 March 2016 in relation to the acquisition (the "Scheme Document").

 

Voting results of the Court Meeting

The voting on the resolution to approve the Scheme was taken on a poll and the results were as follows:

Number of Scheme Shareholders voting: For: 5,506 (93.89%). Against: 358 (6.11%).

Number of votes: For: 3,006,231,101 (99.81%). Against: 5,805,950 (0.19%).

Percentage of eligible Scheme Shares voted: For: 68.82%. Against: 0.13%.

 

Voting results of the CWC General Meeting

The voting on the Special Resolution to (a) approve the Scheme and provide for its implementation; and (b) to amend the articles of Association of CWC, was taken on a poll and the results were as follows:

Number of votes: For: 3,007,553,226 (99.94%). Against: 1,675,995 (0.06%). Withheld: 13,428,112.

A copy of the Special Resolution passed at the General Meeting has been submitted to the Financial Conduct Authority via the National Storage Mechanism and will shortly be available for inspection at http://www.morningstar.co.uk/uk/NSM.CWC today also notes that, as required pursuant to the Co-operation Agreement, Liberty Global has irrevocably confirmed to the Company that it will not invoke, or seek to invoke, any of the Conditions.

Accordingly, subject to the sanctioning of the Scheme at the Sanction Hearing (which is to be held on 11 May 2016) and the filing of the Scheme Court Order with Companies House, CWC expects the Scheme to become effective on 16 May 2016, as anticipated.
