Results of Annual General Meeting - breakdown of the proxy votes

Princess Private Equity Holding Limited ('Princess' or the 'Company') announces that all resolutions put to shareholders at its Annual General Meeting held today were duly passed. The detailed results are:

The Company is advised that the 5,300,000 votes cast against the re-election of the Chairman and the Chairman of the Audit Committee in resolutions 7 & 8 respectively were due to the voting policy of one particular shareholder who follows a policy for non-executives of voting against election if: "The election of a candidate causes this candidate to hold more than five board seats or other comparable seats (incl. the nominated position). The role of a Chairperson and of an audit committee Chairperson is counted double."

The Board notes the above voting policy but its formulation is not consistent with the AIC Code against which the Company reports. As recommended by the AIC, the Board undertakes an annual evaluation of the individual Directors to ensure that they continue to act effectively and efficiently and to fulfill their respective duties. During this evaluation, each Director reconfirmed that they continue to be able to allocate sufficient time to the Company in order to discharge their responsibilities, and the evaluation raised no concerns regarding the availability and effectiveness of the Chairman and the Chairman of the Audit Committee.
