Results of Annual General Meeting

Micro Focus International plc ("Micro Focus", LSE: MCRO.L, NYSE: MFGP) announces that its Annual General Meeting (the "Meeting") held at 9.00 a.m. on Monday 4 September 2017 at The Lawn, 22-30 Old Bath Road, Newbury, Berkshire, RG14 1QN was successfully concluded.

As announced on 1 September 2017, Stephen Murdoch has stepped down from the Board and has become Chief Operating Officer of Micro Focus. A motion to withdraw Resolution 6 (relating to the re-election of Stephen Murdoch as a director) was therefore proposed at the start of the Meeting. The motion was approved by the Meeting on a poll and, accordingly, Resolution 6 was duly withdrawn. All Resolutions (other than Resolution 6 which was withdrawn for the reason noted above) were duly passed by shareholders by way of a poll.

A copy of all special resolutions passed has been submitted to the National Storage Mechanism and will shortly be available for inspection at: www.morningstar.co.uk/uk/NSM 

Micro Focus also announces that it has today purchased the 16,935,536 deferred shares of 10 pence each arising from the share capital consolidation effected on 1 September 2017 for an aggregate consideration of one penny and then cancelled such deferred shares.
