Results of Annual General Meeting

and Class Meeting of C Shareholders

The Board of Hipgnosis Songs Fund Limited and its Investment Adviser, The Family (Music) Limited, announce that at the Second Annual General Meeting ("AGM") of the Company held at 10.30 am on 8 September 2020, Ordinary Resolutions 1 to 11 were passed without amendment by the requisite majority. Special Resolutions 12 to 14 were also passed without amendment by the requisite majority to:

i. allow the Directors of the Company to exercise all powers of the Company to allot shares in the Company up to an aggregate number of 30,792,594 ordinary shares, being 5 per cent of the ordinary shares in issue as at 7 August 2020;

ii. allow the Company to make market purchases of up to 92,316,197 ordinary shares, representing 14.99 per cent. of the ordinary shares in issue (excluding treasury shares) as at the time immediately following the passing of the resolution; and

iii. approve the revised articles of incorporation of the Company in the form tabled at the meeting, replacing the current articles of incorporation.

The Special Resolution proposed at the Class Meeting of C Shareholders held at 10.45 am on 8 September 2020 was also passed without amendment and by the requisite majority to:

i. approve the variation of rights of the C Shares as effected by the revised articles of incorporation.
