Sunplus AGM Approved the Appropriation for 2013 Losses

Hsinchu Science Park, Taiwan, June 11th, 2014 - Sunplus Technology Co., Ltd. (SUNPLUS or the "Company") (TWSE: 2401, LSE: SUPD), today held the annual general shareholders' meeting, at which shareholders approved major resolutions as follows:
1. Shareholders accepted the 2013 business report and financial statements. The consolidated net sales for 2013 were NT$8,522 million and the consolidated net income for 2013 were NT$129 million with earnings per share of NT$0.09.
2. Shareholders approved the appropriation for 2013 losses. The company shall not distribute dividends.
3. Shareholders approved the amendment of the "Articles of Incorporation".
4. Shareholders approved the amendment of the "Election Procedures for Board of Directors and Supervisors".
5. Shareholders approved the amendment of the "Procedures for Acquisition or Disposal Assets".
6. Shareholders approved the amendment of the "Procedures for Endorsements and Guarantees".
7. Shareholders approved the amendment of the "Operational Procedures for Loaning Funds to Others".
8. Shareholders lifted the ban to directors against joining competitor.
