Results of Proxy Voting

 

NBNK Investments plc confirms that the following proxy votes were received ahead of its annual general meeting held this morning.

 

Total valid proxies received - 37,427,766 (74.78% of the total voting rights in issue).

 

All proxies instructed the Chairman to vote in favour of each resolution and therefore each resolution was passed unanimously. The resolutions were:

 

1. To receive the audited financial statements and directors' report for the period

ended 31 December 2010

 

2 To elect Lord Levene of Portsoken as a director

 

3 To elect Sir David Walker as a director

 

4 To elect Lord Brennan of Bibury as a director

 

5 To elect Lord Forsyth of Drumlean as a director

 

6 To elect Lord McFall of Alcluith as a director

 

7 To appoint BDO LLP as auditors

 

8 To authorise the directors to determine the auditors' remuneration

 

9 To grant the directors' general authority to allot shares

 

10 To approve the disapplication of statutory pre-emption rights

 

11 To grant the company general authority to make limited market purchases of

its own shares

Resolutions 1 to 9 were proposed and passed as ordinary resolutions. Resolutions 10 and 11 were proposed and passed as special resolutions.
