Result of AGM and Completion of Investment

Turbo Power Systems announces that all resolutions were passed at its Annual General Meeting which was held at 10.00am on Monday 14 June 2010 and consequently, the Investment by Tao as described and defined in the announcement of 21 May 2010 has been approved.

Application has been made for the 1,083,333,334 common shares in the Company issued to Tao to be admitted to trading on AIM. These new common shares will rank pari passu with existing common shares of the Company and dealings in the new common shares are expected to commence on 16 June 2010.

Turbo Power Systems is consequently pleased to welcome James Pessoa, Rodrigo Braga and Jim Vickerman to the board of directors ("the Board"), whilst Douglas Clark, David Hawksworth and Graham Thornton have resigned from the Board.

James Pessoa, incoming Chairman of the Board commented as follows: "I am delighted that the Investment has been approved by the shareholders. Furthermore, we are excited to join the Board at a significant point in the Company's development and look forward to working with the management in driving forward growth. I would also like to thank the outgoing directors for their contribution and wish them well for the future."

As a consequence of the approval of the Investment as detailed above, the Company's issued capital will now comprise 1,437,754,813 common shares of no par value each. There are no ordinary shares held in Treasury. Therefore the total number of voting rights on completion of the Investment will be 1,437,754,813.

The above figure of 1,437,754,813 may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FSA's Disclosure and Transparency Rules.
