ICAP plc announces that at its annual general meeting held at 11.00 am today, all resolutions proposed at the annual general meeting, as set out in the notice of meeting, were passed on a show of hands with the requisite majorities.

Details of the resolutions passed and proxy votes can be found on the investor relations pages of the website www.icap.com .

In accordance with Listing Rule 9.6.2, copies of the special business resolutions passed at the 2011 annual general meeting have been submitted to the UK Listing Authority via the National Storage Mechanism and will shortly be available for inspection at http://www.hemscott.com/nsm.do .
