Roc Oil Company Limited11 May 2005 11 May 2005 ROC OIL COMPANY LIMITED ("ROC") STOCK EXCHANGE RELEASE RESOLUTIONS PUT TO ANNUAL GENERAL MEETING AND DISCLOSURE OF PROXY VOTES ROC advises that the result of the resolutions put to its members at its AnnualGeneral Meeting held earlier today were as follows: 1. Election of Mr W Jephcott as a Director Result - carried 2. Election of Mr S Jansma Jr as a Director Result - carried 3. Pursuant to Listing Rule 7.4 of the Listing Rules of the Australian Stock Exchange Limited, the Company approval and ratification of the issue of 9,900,990 fully paid ordinary shares in the capital of the Company at a price of $2.00 per share on 27 January 2005. Result - carried 4. Approval of the increase in the total amount of directors fees that may be received by the Company's non-executive directors from $250,000 to $500,000.
