China Goldmines plc ('the Company')
Result of AGM and Appointment of UK based non executive chairman
At the AGM held earlier today the Company withdrew resolutions 6,7 & 8 concerning the re-appointment of Clive Donner and Evan Kirby and the proposed investing policy. All other resolutions were passed.
At the meeting it was announced that Robert Adair has been appointed independent non-executive chairman of the Company with immediate effect.
Welcoming Mr Adair to the Board Frank Vanspeybroeck, CEO, commented: "Robert Adair brings significant UK plc experience to China Goldmines. In our circular to shareholders in September this year we set out our intention to appoint a senior UK based non executive to the Board. We look forward to the opportunity of working with Robert and drawing on his experience as we endeavour to take the Company forward."
Mr Adair commented: "I am aware that a significant proportion of the shareholders wish the Company to come forward with a credible business acquisition or to return funds to shareholders. I look forward to working with my Board colleagues to deliver a strategy aligned to shareholders' needs".
The Board intends to appoint a further independent UK based non executive director in the near future. The Board will also move forward with an investing policy that will be aligned to shareholders' needs.

Mr. Adair is a beneficial holder of 1,301,664 ordinary shares in the Company, amounting to 2.69% of the entire share capital. Mr Adair has pledged 134,998 of these ordinary shares to be used as funds in an underwriting commitment at Lloyds of London.

(a) Conderton Limited was placed in administrative receivership on 15 December 1993 and was placed in compulsory liquidation on 8 March 1994. Robert Adair was a director of this company within the 12 months prior to these dates.
(b) Poselco Limited was placed in administrative receivership on 15 December 1993 and was placed in compulsory liquidation on 23 March 1994. Robert Adair was a director of this company within 12 months prior to these dates.
(c) Telematix Limited was placed in creditors' voluntary liquidation on 24 August 2001. Robert Adair was a non-executive director of this company within the 12 months prior to that date.
(d) The Beckenham Group plc was placed in administrative receivership on 17 November 1993. At the time of the receivership, a total of £8.56 million was owing to creditors. Robert Adair was a non-executive director of this company on that date.
(e) Safe Gard Europe Limited was placed in administration on 6 January 2005. At the time of the administration, a total of £5.52 million was owing to creditors. Robert Adair was a director of this company within the 12 months prior to that date.
