Result of AGM and Issue of Shares to Director
CDialogues plc (AIM: CDOG), the provider of mobile marketing solutions to Mobile Network Operators ("MNOs"), announces that at its annual general meeting held earlier today, all resolutions were passed.
CDialogues also announces that, as set out in the Company's Admission Document dated 24 June 2014, on 10 June 2015, the Company transferred 4,717 ordinary shares of £0.01 each in the Company ("Ordinary Shares") held by the Company in treasury to Daroy Gordon Limited, the company which provides the services of Jeffrey Gordon as non-executive director of the Company. These Ordinary Shares were transferred for nil consideration.
Following this transfer, Jeffrey Gordon, has a beneficial interest through Daroy Gordon Limited of 4,717 Ordinary Shares, which represents 0.08% of the voting rights in the Company.
Following the above transfer, the Company has 6,217,017 Ordinary Shares in issue (excluding treasury shares), which is the total number of voting rights and may be used by shareholders as the denominator for the calculation by which they will determine whether they are required to notify their interest in, or a change in their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules. The total number of Ordinary Shares now held in treasury is 23,533.

The Company's near-term focus is on growing both its customer base and expanding its geographic footprint in selected markets in the Middle East, Africa and Southeast Asia, where mobile device penetration and mobile network usage is growing rapidly.
CDialogues has been profitable and cash flow positive since commercial operations began in early 2012.
