Result of Annual General Meeting and Directorate Change
Insetco advises that, at the Annual General Meeting of the Company held yesterday, resolutions were voted as follows:
Ordinary Resolution 1 | To receive and adopt the Company's annual report and accounts for the financial year ended 31 December 2013 and the reports of the directors and the auditors thereon. | Passed |
Ordinary Resolution 2 | To re-appoint Jeffreys Henry LLP as auditors of the company and to hold office until the conclusion of the next annual general meeting

Ordinary Resolution 3 | To re-appoint Mr Julian Seidman, who retires by rotation as a director.

Accordingly, Julian Seidman will step down from the board with immediate effect but will remain with the company.
DIRECTORATE APPOINTMENT
The Company further announces that, in line with developing the Company's intentions of participating in the structuring of financial products, that Mr Barry Richard Heath has been appointed as a director of the Company with immediate effect.
Barry Richard Heath
Mr Heath, aged 60, has over 40 years of experience within the financial services sector, principally in the areas of trading and risk management in the fixed income and futures sectors. He has founded and run a number of firms in addition to holding senior positions in a number of established financial services businesses.
Mr Heath's career started with Hedder Stirling Grumbar & Co in September 1972 as a junior trader from where he moved to Lazard Bros in 1979 as an assistant fund manager. Here he helped establish the LIFFE trading operation, becoming the floor manager and senior trader. In 1984, Mr Heath founded B&H Financial Futures, a LIFFE non-public order exchange member.
More recently, Mr Heath has held a number of senior positions including office and risk manager at Refco Trading Services of the Prop Trading Group, as a Fund trader with MCI Services Limited and, presently, with Xconnect Trading Ltd as a senior trader where he runs the fixed income and new issues desk.
Mr Heath is a member of LIFFE and an approved person (CF30) by the FCA.

In 1987, Jiordoniss Limited (later renamed B & H (Financial Futures) Limited), of which Mr Heath was a director, was fined £40,000 for breaches in the LIFFE rules by several of the company's traders. Mr Heath received a temporary suspension to his LIFFE membership, without the removal of any trading rights, and retained LIFFE membership until 2013.
In December 1992, B & H (Financial Futures) Limited, of which Mr Heath was a director at the time, was compulsorily wound-up by the Official Receiver. The winding up concluded in May 1996. In September 2012, the Official Receiver was appointed to compulsorily wind-up BRH Futures Limited, of which Mr Heath was a director at the time. The winding-up was concluded in April 2014. In both cases, no action was taken by the Official Receiver and it was recorded the insolvencies were as a result of the poor economic climates at the time.
There are no further disclosures required pursuant to Schedule 2(g) of the AIM Rules.
