Greene King PLC04 September 2007 GREENE KING PLC AGM 2007 RESOLUTIONS PASSED At the annual general meeting of Greene King plc held at the MillenniumGrandstand, Rowley Mile Racecourse Conference Centre, Newmarket on Tuesday 4September 2007, the following resolutions were passed, resolutions 1 to 11 asordinary resolutions and resolutions 12 to 14 as special resolutions. 1 To receive and adopt the report of the directors and theaccounts for the fifty-two weeks ended 29 April 2007 and the auditors' reportthereon. 2 That the directors' remuneration report (as set out on pages 63 to70 of the annual report) for the fifty-two weeks ended 29 April 2007 beapproved. 3 To declare a final dividend of 16.45p per ordinary share. 4 To elect Ian Durant as a director of the company. 5 To elect Jonathan Lawson as a director of the company. 6 To re-elect Rooney Anand as a director of the company. 7 To re-elect Norman Murray as a director of the company. 8 To re-elect Howard Phillips as a director of the company. 9 To re-appoint Ernst & Young LLP as auditors of the company untilthe conclusion of the next annual general meeting. 10 To authorise the directors to determine the remuneration of theauditors of the company. 11 That the authorities and powers conferred on the directors byarticle 11 of the articles of association of the company be renewed for theperiod ending on the earlier of the date of the AGM in 2008 or fifteen monthsafter the date of this resolution and that for such period the section 80 amountshall be £6,114,709. 10 Special resolution That the authorities and powers conferred on the directors byarticle 11 of the articles of association of the company be renewed for theperiod ending on the earlier of the date of the annual general meeting in 2008or fifteen months after the date of this resolution and that for such period thesection 89 amount shall be £917,216. 13 Special resolution That the company be and is hereby unconditionally and generally authorised forthe purposes of section 166 of the Companies Act 1985 (the "Act") to make marketpurchases (within the meaning of section 163 of the Act) of its ordinary sharesof 121/2p each provided that (a) the maximum number of ordinary shares which may be purchased shall be14,675,302 ordinary shares; (b) the minimum price (exclusive of expenses) which may be paid for eachordinary share shall be the nominal value of the ordinary shares at the time ofpurchase; and (c) the maximum price (exclusive of expenses) which may be paid for eachordinary share shall be 105 per cent of the average of the closing price of theordinary shares (as derived from the London Stock Exchange Daily Official List)for the five business days immediately preceding the date on which such share iscontracted to be purchased; and (d) that the authority conferred by this resolution shall expire at theearlier of the conclusion of the AGM in 2008 or fifteen months after the date ofthis resolution, except in relation to the purchase of shares pursuant tocontracts entered into before such expiry whose execution may be wholly orpartly after such expiry. 14 Special resolution That (a) the company be authorised, subject to and in accordance with theprovisions of the Companies Act 2006, to send, convey or supply all types ofnotices, documents or information to the shareholders by means of electronicequipment for the processing, storage and transmission of data, employing wires,radio, optical technologies, or any other electromagnetic means, this to includemaking such notices, documents or information available on a website; and (b) the regulations contained in the document marked "A" submitted to theAGM and initialled for the purpose by the chairman be approved and adopted asthe new articles of association of the company, in substitution for and to theexclusion of the existing articles of association with effect from the end ofthe AGM.
