Tarsus Group PLC18 April 2007 Tarsus Group plc (the 'Company') Result of Annual General Meeting and Scrip Dividend Alternative and Directors' Shareholdings Annual General Meeting The Annual General Meeting of Tarsus Group plc was held earlier today. All the resolutions proposed at the annual general meeting were passed. Thoseresolutions include a resolution authorising the Directors to allot a number ofordinary shares of 5p each ("Ordinary Shares") in the capital of the Company.The Directors propose to use that authority to allot Ordinary Shares to thoseshareholders who have elected to receive the final cash dividend ("theDividend") for the year ended 31 December 2006 to which they would otherwise beentitled in the form of Ordinary Shares under the scrip dividend alternativeoffered by the Company in respect of that dividend ("the Scrip DividendAlternative"). A copy of the resolutions has been submitted to the UK Listing Authority, andwill be available for inspection at the UK Listing Authority's Document ViewingFacility, which is situated at: Financial Services Authority 25 The North Colonnade Canary Wharf London E14 5HS Telephone Number: (0)20 7676 1000 Scrip Dividend Alternative Elections under the Scrip Dividend Alternative have been received from 254shareholders in respect of 8,197,314 Ordinary Shares (representing 13.55 percent. of the current issued share capital) and, as a result, the Board of theCompany has allotted 92,341 new Ordinary Shares ('New Ordinary Shares')(representing approximately 0.15 per cent. of the current issued share capital).These New Ordinary Shares will rank pari passu in all respects with the existingOrdinary Shares. Application will be made for the admission of the New OrdinaryShares to the Official List and to the London Stock Exchange's market for listedsecurities and dealings are expected to commence on 27 April 2006. The total number of Ordinary Shares in issue following the allotment of the NewOrdinary Shares will be 60,592,453. Payments of £1,397,676 in aggregate will be made on 27 April 2007 in respect ofthe Dividend to those shareholders who did not make an election under the ScripDividend Alternative. Directors' Shareholdings Roger Pellow elected to take the Scrip Dividend Alternative in respect of his4,663 shares as notified to the Company today.
