Annual General Meeting, 19 June 2025

All resolutions were passed at the Annual General Meeting of the Company held on 19 June 2025, including those detailed below:

Ordinary Business

· Shareholders approved an ordinary resolution renewing the Directors' general authority to issue shares up to an aggregate nominal value of £4,859,626 (being approximately one-third of the nominal value of the issued share capital as at 27 March 2025. Shareholders approved a special resolution to allot a limited number of shares for cash on a non pre-emptive basis up to £1,472,614 (being approximately 10% of the nominal value of the issued share capital as at 27 March 2025). These authorities will expire at the earlier of 18 September 2026 or at the conclusion of the next Annual General Meeting of the Company, unless previously revoked, varied or extended.

· Shareholders approved a special resolution authorising the Company to buy-back its own shares up to a maximum of 14.99% of the Company's issued share capital, being 8,780,456 ordinary shares of 25p. This authority will expire at the conclusion of the AGM to be held in respect of the year ending 31 January 2026 unless previously varied, revoked or renewed.

· Shareholders approved, as a special resolution, that, (i) subject to the sanction of the High Court of Justice in England and Wales (the Court), the amount standing to the credit of the share premium account of the Company, at the date an order is made confirming such cancellation by the Court, be cancelled; and (ii) the amount of the share premium account so cancelled be credited to a reserve of the Company.
