RESOLUTIONS PASSED AT 2016 ANNUAL GENERAL MEETING
Copies of the resolutions put to shareholders of RPC Group plc ("Company") and passed by a vote on a show of hands by the required majority at the 2016 Annual General Meeting, have today been submitted to the National Storage Mechanism and will shortly be available for inspection at www.hemscott.com/nsm.do.
Details of the number of proxy votes cast for, against and withheld for each resolution will shortly be available on the website www.rpc-group.com. The Board notes that a clear majority of shareholders voted to support resolution 3 to approve the Remuneration Policy. A notable minority of shareholders, however, failed to support the vote for resolution 2 to approve the Remuneration Report. During a comprehensive and transparent shareholder consultation process, the Remuneration Committee had constructive discussions with a number of shareholders and as a result some amendments were made to the original proposals. Some shareholders noted concerns with the overall increase in quantum following the phased salary increases. This was considered in depth by the Committee who eventually determined, on the basis that any increase in salary for FY2017/18 will only follow a further review of Group and individual performance over the next year, they were comfortable that the increase in quantum was appropriate given the significant increase in the size and scope of the Executive Director roles. We will, of course, continue to maintain an open dialogue with shareholders to understand their views and explain the actions of the Committee.
The total number of shares in issue as at 11 July 2016 was 314,737,968. The total number of votes received at the close of business on 11 July 2016 was 236,259,210 representing 75% of the issued share capital as at 13 July 2016.
