Restructuring of the business of the investment manager of Ventus VCT plc (the "Company")

Temporis Capital LLP transferred its assets, employees and businesses to its subsidiary, Temporis Capital Limited, on 31st March 2017. The transfer has been approved by the Financial Conduct Authority (the "FCA") and Temporis Capital Limited has been granted the same permissions by the FCA as Temporis Capital LLP. The Investment Management Agreement with the Company has been novated from Temporis Capital LLP to Temporis Capital Limited.
