Response to Sherborne Investors (Guernsey) B Limited (Sherborne)'s letter published on 26 October 2015

The Board of Electra Private Equity PLC ("Electra" or "the Company") notes Sherborne's announcement this morning.

Today the Company released its annual, audited results to the market which show continuing strong performance. We regard Sherborne's letter as a misjudged attempt to distract attention from these results, which speak for themselves.

The Board also notes the highly unusual step of releasing Sherborne's version of private meetings which took place between the two sides.

The Board believes the substance of the argument remains unchanged: that Electra's performance is excellent, that no credible alternative case has been put, and that there is a risk of significant value destruction in Sherborne obtaining board representation.
