Resolutions of PJSC NCSP's Board of Directors

Novorossiysk Commercial Sea Port Group (NCSP Group or the Group) (LSE: NCSP, Moscow Exchange: NMTP) hereby reports resolutions approved by PJSC NCSP's Board of Directors on 4 September 2015.

To elect Maxim S. Grishanin as chairman of the Board of Directors.

To approve a number related party transactions:

- Addendum №2 to agreement on service of ships at Novorossiysk port;

- Agreement on cargo transshipment and expediting services for export chemical cargo between PJSC NCSP and FESCO Integrated Transport;

- Agreement on cargo transshipment and expediting services for export metals between PJSC NCSP and FESCO Integrated Transport;

- Agreement on provision of «NKHP elevator to vessel» transshipment services, and expediting services for exported seeds and grain in bulk between PJSC NCSP and PJSC United Grain Company;

- Agreement on provision of «NGT elevator to vessel» transshipment services, and expediting services for exported seeds and grain in bulk between PJSC NCSP and PJSC United Grain Company;

- Agreement on provision of oil products analysis services;

- Addendum to water supply agreement between PJSC NCSP and PJSC Fleet of NCSP.
