Requisition of General Meeting

IndigoVision has received a requisition on behalf of Oliver Vellacott, the former Chief Executive of the Company, requisitioning a general meeting ("GM") of the Company's shareholders to consider resolutions to appoint Sir Peter Alexander Burt, Waverley Duncan Cameron and Oliver Vellacott to the Board of IndigoVision, and to remove both Hamish Grossart and Andrew Fulton from the Board. IndigoVision will, no later than 30 December 2011, send a notice to its shareholders convening a GM (assuming that the requisition is not withdrawn before then). The GM will be held no later than 28 days after the date of the notice.

In the Board's view, the requisition is the latest in a series of misguided attempts by Oliver Vellacott to gain control over IndigoVision without paying an appropriate premium to shareholders. The Board will set out the chronology of events leading up to the requisition, along with its recommendations to shareholders in respect of the resolutions, in the notice of GM.
