Requisition of General Meeting

Management Resource Solutions plc ("MRS" or "Company") announces that on 27 January 2017 it received a requisition in accordance with the Companies Act 2006 of a general meeting from Pershing Nominees on behalf of SCOPN Pty Ltd, a company owned by Santina Morffew, the wife of former CEO Paul Morffew.

The requisition requires that the Company put to shareholders a resolution to remove Murray d'Almeida from his office as a director of the Company with immediate effect.

The delay in making this announcement was occasioned by discussions with SCOPN regarding the validity of the requisition, now resolved.

A circular to shareholders convening this general meeting, containing full details of the resolution proposed by SCOPN and the directors' recommendation in respect of it, will be published in due course.
