Notice on Decisions of the Board of Directors
TransContainer announces that on 25 April 2013 the Board of Directors of JSC TransContainer (TRCN) (the "Company") has recommended the Annual General meeting of its shareholders to approve the following:
·; To approve the following distribution of the Company's net profit for the year 2012 under RAS:

·; To establish the dividend payout ratio for 2012 at 25% of TransContainer's net profit for the year 2012 under RAS.
·; To pay dividends in the amount of RUB 86.67 per one ordinary share on or before 26 August 2013.
The decision on dividends was made in connection with significant overrun of the Company's actual 2012 net profit with respect to the planned value. The decision will not affect the Company's investment plans.
One TransContainer ordinary share corresponds to ten GDRs. GDR shareholders registered as at the record date of 14 May 2013 will be entitled to receive a dividend payment following the AGM's approval.
The AGM materials will be available from 24 May 2013 on TransContainer's website at http://www.trcont.ru/investor-relations/shareholder-meetings/ or by request from TransContainer's head office during working hours.
